The Role

The role encompasses the full range of corporate, M&A and investment advisory work.  The candidate will support the existing team in research assignments, investment reviews, due diligence, and drafting and negotiation of a wide range of agreements and documents, including: share and asset purchase agreements (and related transaction documents and schedules), shareholders' agreements, organizational documents for corporations, limited liability companies and partnerships, fund-related documents and other commercial agreements.  The suitable candidate needs to be able to produce polished first drafts of a suite of documents and help in the delivery of an entity formation or restructuring, M&A or investment transaction.  The candidate will be working on multi-national corporate transactions advising corporate, family office and individual clients on disposals, acquisitions and investments and day-to-day corporate matters. 

Skills and Experience Required

  • Strong academic credentials
  • Minimum 5 years' experience in a law firm's Corporate group
  • Strong drafting, writing and communication skills
  • Ability to work directly with business owners and investors
  • Exposure to complex corporate transactions, including M&A, joint ventures, investments, financings and corporate restructuring
  • Experience with fund formation, and the execution of fund investments
  • Experience conducting due diligence review in connection with various corporate and securities transactions
  • Experience reviewing and drafting a wide variety of commercial contracts;
  • Strong project management and leadership ability;
  • Strong ability to balance a large number of competing priorities
  • Team Player
