Overview of Corporate Practice

Our Corporate practice is a unique practice that focuses on advising a diverse group of companies, entrepreneurs, investors, family offices, venture and other funds, and talented and creative individuals around the world. 

Our corporate clients operate in a variety of industries, including manufacturing, financial services, sports and entertainment, hospitality, luxury goods and services, venture capital and private equity, art and digital assets and crypto currencies. 

Our team is called upon to advise on domestic and cross-border M&A, joint ventures, financings and refinancings, general corporate matters, securities and investment advisory matters; including investment adviser regulatory matters, fund formation and operation, fund and other investment reviews, private offerings, restructuring and domestication.

Members of the team also serve as personal legal counsel to talented and creative individuals across the sports and entertainment industries, providing personal and holistic advice on a variety of professional, brand management, investment, personal business, and commercial activities.

The Role

This role will sit in our New York office.

The focus of this role will be to support all senior members of our corporate team across all disciplines and transaction types.  A significant focus of this role will be on advising high net worth domestic and international individuals, families, family offices and their advisors with respect to (i) their corporate governance and structures, investments, joint ventures, commercial agreements, financings, acquisitions and divestitures, and (ii) their obligations under US securities laws including beneficial ownership reporting obligations and the applicability of the US Investment Advisers Act and US Investment Company Act to their investment activities.

  • Exposure to complex corporate transactions, including M&A, joint ventures, investments, financings and corporate restructurings.
  • Experience reviewing and drafting formation, corporate governance and transaction documents as well as a wide range of commercial contracts.
  • Experience in fund formation, review of fund and other investment reviews and related securities regulations as well as assisting client in completing subscription documents.
  • Experience conducting due diligence review in connection with various corporate and securities transactions.

Key Skills and Experience

  • Strong academic credentials;
  • Minimum 4 years' experience in a law firm's Corporate group;
  • Strong drafting, writing and communication skills;
  • Ability to work effectively as part of a team and to interact in a professional manner with partners, clients and the clients' other professional advisers;
  • Strong project management skills; ability to balance a large number of competing priorities; and
  • Team Player and motivated to succeed as a group.
  • Compensation commensurate with experience ranging from $225,000 - $270,000.
